• Product and supplier sourcing
• Supplier-information checks
• Factory-visit coordination
• Product and packaging inspection coordination
• Sample handling
• Order follow-up
• Warehouse and consolidation coordination
• International shipping coordination
• Related trade-support services

The exact service provided depends on the customer's request, the product, the destination, applicable law, available suppliers and suitable third-party service providers.

The website provides general information about Ferrycann and its services.

The website is not:

• An online marketplace
• A customer account system
• A shipment-tracking platform
• An online payment platform
• A binding quotation system
• A guarantee that Ferrycann will accept or complete a particular request

Website information may be changed, corrected, removed or updated without prior notice.

Contacting Ferrycann does not automatically create a contract or require Ferrycann to accept an order.

A service arrangement begins only when the relevant scope, responsibilities, charges, payment requirements and other material terms have been confirmed through an appropriate written communication or agreement.

A discussion, estimate or preliminary price indication is not binding unless Ferrycann expressly confirms otherwise in writing.

Customers must provide complete and accurate information reasonably required to assess and perform a request.

Ferrycann will not knowingly assist with goods or transactions that are illegal, prohibited, counterfeit, fraudulent, unsafe or otherwise inappropriate.

Ferrycann may reject or stop work involving:

• Counterfeit or unauthorised branded goods
• Prohibited or restricted goods
• Goods that infringe intellectual-property rights
• Illegal substances
• Weapons or controlled items
• Dangerous products that cannot be handled lawfully
• False customs descriptions
• Fraudulent documentation
• Transactions involving sanctions or unlawful trade restrictions
• Requests that create unreasonable legal, safety or reputational risk

The customer is responsible for confirming that the proposed goods can be lawfully purchased, exported, imported, marketed and used in the destination country.

Ferrycann may coordinate with independent third parties, including:

• Manufacturers
• Trading companies
• Inspectors
• Testing companies
• Warehouse operators
• Consolidation providers
• Freight forwarders
• Carriers
• Customs specialists
• Insurance providers
• Other professional service providers

Unless expressly confirmed otherwise, these parties are independent third parties and are not employees or owned facilities of Ferrycann.

Ferrycann may assist with selection, communication and coordination, but cannot guarantee every act, omission, statement, capacity or performance of an independent third party.

Supplier checks are intended to reduce uncertainty, not eliminate all commercial risk.

The scope of a check may depend on:

• Available public or supplier-provided information
• The service ordered
• Access permitted by the supplier
• Time and budget
• The nature of the product
• Whether a specialist investigation is required

A supplier check is not a guarantee of solvency, honesty, future performance, product quality or legal compliance.

Customers should make commercial decisions based on the full circumstances and their own risk tolerance.

A sample may not be identical to later production.

Differences may arise because of materials, machinery, batch production, colour variation, workmanship, packaging or approved modifications.

Approval of a sample does not remove the need for clear production specifications or an appropriate inspection plan.

Sample charges, delivery costs, customs charges and related fees may be payable by the customer.

Inspection scope must be agreed before the inspection takes place.

Depending on the service, an inspection may include:

• Quantity checks
• Visible product checks
• Measurements
• Workmanship checks
• Packaging checks
• Labelling checks
• Comparison with an approved sample or specification
• Photographic reporting

An inspection is based on the agreed scope, available samples, documents, access and inspection method.

Unless expressly agreed, an inspection does not:

• Test every unit
• Guarantee hidden or future performance
• Replace laboratory testing
• Confirm compliance with every law or technical standard
• Guarantee that no defect exists
• Guarantee that the supplier will not alter goods after inspection

Inspection reduces risk but cannot guarantee that every defect will be identified. Specialist testing, factory audits, laboratory testing or certification review may require an appropriately qualified third-party provider and are charged separately unless expressly included.

The customer remains responsible for confirming the inspection standard and acceptance criteria suitable for the product and destination.

Ferrycann may communicate with suppliers and provide available updates concerning production, packaging or readiness.

Production dates and supplier updates may change.

Unless Ferrycann expressly assumes a specific written obligation, Ferrycann is not the manufacturer and does not directly control factory operations, raw-material availability, labour, utilities, production scheduling or supplier decisions.

Customers must review and approve important specifications, artwork, samples, quantities, packaging and other order details where required.

Where requested, Ferrycann may coordinate the receiving and consolidation of goods through third-party warehouse providers.

Warehouse and consolidation services may be subject to:

• Receiving fees
• Storage charges
• Handling charges
• Repacking fees
• Measurement or weighing fees
• Documentation requirements
• Storage limits
• Restrictions on hazardous, oversized, fragile or regulated goods

Goods may not be accepted when they are unsafe, illegal, improperly packaged, inaccurately declared or unsuitable for the available facility.

Risk and responsibility for stored goods will be governed by the confirmed service terms and any applicable third-party conditions.

Ferrycann may assist with comparing or coordinating available shipping options.

Shipping may be provided by independent freight forwarders, carriers, agents and destination-service providers.

Unless expressly agreed in writing, Ferrycann does not itself operate the ship, aircraft, vehicle, port, warehouse or customs authority involved.

Shipping estimates are not guaranteed.

Actual timing may be affected by:

• Supplier delays
• Warehouse processing
• Booking availability
• Carrier schedules
• Weather
• Port congestion
• Security inspections
• Customs procedures
• Documentation
• Public holidays
• Labour disputes
• Route changes
• Government action
• Force-majeure events
• Other matters outside Ferrycann's reasonable control

The applicable shipping document, carrier terms, freight-forwarder terms and insurance terms may also govern the shipment.

Customs clearance and regulated destination services may be coordinated through qualified third-party providers where available.

The customer is responsible for confirming:

• Import eligibility
• Product restrictions
• Licences and permits
• Product standards
• Labelling requirements
• Duties
• Taxes
• Customs classification
• Destination documentation
• Any required local approvals

Ferrycann does not guarantee customs clearance, duty amounts, tax treatment or approval by any authority.

Additional charges resulting from customs examinations, storage, penalties, reclassification, missing documents or destination requirements may be payable by the customer.

Unless expressly stated otherwise:

• A quotation is based on the information available when it is prepared
• Prices may change before confirmation
• Supplier prices may change
• Exchange rates may change
• Freight rates may change and may have short validity periods
• Fuel, security, peak-season and other surcharges may apply
• Duties, taxes, destination fees and unexpected third-party charges may be excluded
• Website currency equivalents are indicative reference amounts only
• A quotation may expire after the stated validity period
• A revised specification or scope may require a revised quotation

Work should not begin until the required payment and confirmation have been received.

A quotation may distinguish between Ferrycann's service charges and amounts payable to suppliers or third parties. Product costs, freight, travel, inspection, warehouse handling and destination charges are separate unless expressly included.

Where an Incoterm is used, the quotation will state the exact Incoterm, named place and version. The Incoterm does not replace the payment terms or the full service agreement.

Payment requirements will be stated in the relevant quotation, invoice or service confirmation.

An initial sourcing activation payment may be required before supplier-search work begins. Once sourcing work has begun, that activation payment is non-refundable. If the order proceeds, it is credited toward the confirmed sourcing service fee as stated in the quotation.

Ferrycann does not provide services on credit and does not advance supplier or third-party costs on behalf of customers. Supplier orders, travel, inspections, warehouse services and shipping bookings are arranged only after the required funds have cleared.

Travel, accommodation and related transport costs must be approved and prepaid before booking. No shipment is released with an unpaid balance. No third-party service is ordered before its payment is received.

The customer must pay amounts when due and through an approved payment method.

The customer is responsible for applicable bank charges, transfer fees, currency-conversion costs and other payment expenses unless otherwise agreed.

Ferrycann may pause or refuse work when:

• Payment is late
• Required funds have not been received
• A payment cannot be verified
• The request changes materially
• Continuing would create legal, safety or commercial risk

Any refund entitlement will depend on the work completed, costs already incurred, non-refundable third-party payments and the terms confirmed for the order.

A requested change may affect:

• Price
• Production
• Inspection
• Packaging
• Storage
• Shipping
• Timing
• Third-party charges

Ferrycann is not required to accept a change after work has begun. Work outside the agreed scope requires approval. Changes after approval may create additional supplier or service costs.

A cancellation request must be made in writing.

If a customer cancels, the customer remains responsible for:

• Work already completed
• Costs already incurred
• Non-refundable activation payments after sourcing has begun
• Non-refundable supplier or third-party payments
• Cancellation fees
• Storage or return costs
• Other committed expenses

Product payments already sent to a supplier follow the supplier's cancellation terms. Custom products may not be cancellable after production begins. Unused prepaid third-party funds are reconciled after applicable costs. Any remaining refundable balance will be determined after those amounts are accounted for.

The customer must have the right to use any:

• Brand name
• Logo
• Product design
• Photograph
• Drawing
• Packaging artwork
• Document
• Specification
• Patent
• Trademark
• Copyrighted material
• Other intellectual property supplied for an order

The customer must not ask Ferrycann or a supplier to copy, manufacture or distribute infringing goods.

The Ferrycann name, logo, website design, written website content and original brand materials belong to Ferrycann or their relevant licensors.

Website materials may not be reproduced, modified, sold or commercially exploited without permission, except where applicable law permits.

You must not:

• Use the website unlawfully
• Attempt unauthorised access
• Interfere with website security or operation
• Introduce malware or harmful code
• Scrape the website in a way that disrupts service
• Misrepresent your identity or authority
• Use website content to commit fraud
• Infringe Ferrycann's or another person's rights

Ferrycann may restrict access where reasonably necessary to protect the website, business or users.

This section must be applied only to the extent permitted by applicable law.

To the extent permitted by applicable law, a customer may be required to compensate Ferrycann for reasonable losses, claims, penalties or expenses resulting from:

• Unlawful goods
• Intellectual-property infringement
• False declarations
• Inaccurate or misleading customer instructions
• Breach of applicable import or export law
• Misuse of the website
• Breach of an agreed service term

Any order-specific indemnity should be confirmed in the relevant service agreement.

Ferrycann is not responsible for delay or failure caused by events outside its reasonable control.

• A supplier or provider cannot perform
• The customer behaves abusively or fraudulently
• Continuing would expose Ferrycann or another party to unacceptable risk

Any financial adjustment will depend on completed work, committed costs and the agreed service terms.

You agree that relevant communications may take place electronically, including by:

• Email
• WhatsApp
• Approved social-media messaging
• Electronic documents
• Other agreed communication channels

You are responsible for maintaining accurate contact details and reviewing communications within a reasonable time.

Important approvals and changes should be confirmed in writing.

The governing law and dispute forum for public website use and business services must be confirmed before the website's public launch.

The governing-law and dispute-resolution details will be published after Ferrycann’s final legal and operating arrangements are confirmed.

An order-specific agreement may contain its own governing-law and dispute-resolution provisions.

If a provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure or delay in enforcing a right does not automatically waive that right.
